IMPORTANT — PLEASE READ. These App Terms of Use (“App Terms”) are a binding agreement between you and PowerShelter B.V. (“PowerShelter”, “we”, “us”) for your use of the PowerShelter mobile application (the “App”) and PowerShelter’s charging and battery-swapping services at PowerShelter Shelters (the “Services”). You may use the App only if you are a customer of a participating fleet or lease partner (your “Battery Provider”, for example Zoomo). Your batteries and all fees are provided and charged by your Battery Provider under your separate agreement with them. By logging in to or using the App, you accept these App Terms and the PowerShelter Privacy Policy, and you agree that PowerShelter may process your personal and technical data as described in the Privacy Policy. If you do not accept these App Terms, do not use the App.

  1. You access PowerShelter through your fleet or lease partner (your "Battery Provider," for example Zoomo). No active Battery Provider, no access.

  2. PowerShelter does not charge you. Your batteries and all fees come from your Battery Provider under your separate agreement with them.

  3. The batteries are not ours — your Battery Provider owns them. PowerShelter operates the Shelters and facilitates swaps.

  4. Use only approved batteries, follow the safety rules, and report any overheating, smoke, or fire straight away.

  5. Lockers are for batteries only — do not store personal belongings in them.

  6. The App uses your location to help you find nearby Shelters; how we handle your data is set out in the Privacy Policy.

  7. The App and Services are available in the EU and UK only.

  8. Our liability to you is limited (see Section 12) — but we never limit liability for death or personal injury, fraud, or gross negligence.

  9. These App Terms apply alongside your separate agreement with your Battery Provider.

  1. Definitions and order of precedence

1.1 In these App Terms: “App” means the PowerShelter mobile application for iOS and Android, including all updates and related software, content and documentation; “Store” means the Apple App Store or Google Play, as applicable; “Shelter” means a PowerShelter charging and battery-swapping unit, and “Locker” means an individual charging bay within a Shelter; “Battery Provider” means a fleet, lease or rental company participating in the PowerShelter network through which you access the App and the Services (for example Zoomo); “Services” means PowerShelter’s charging, storage and (where offered) battery-swapping services accessible through the App at PowerShelter Shelters; and “Privacy Policy” means PowerShelter’s privacy policy at https://powershelter.com/legal/privacy-policy.

1.2 These App Terms and the Privacy Policy govern your use of the App and the Services. Your separate agreement with your Battery Provider governs your batteries and all fees. PowerShelter’s general User Agreement (at https://powershelter.com/legal/user-agreement) may additionally apply where you use other PowerShelter services.

1.3 If there is any conflict in relation to your use of the App or the Services, these App Terms prevail; for personal data, the Privacy Policy prevails; and for Store-specific matters, Appendix A (Apple) and Appendix B (Google) prevail.

  1. Eligibility and account

2.1 Active Battery Provider relationship required. You may use the App and the Services only while you have an active customer relationship with a Battery Provider that participates in the PowerShelter network. If that relationship ends or is suspended, your access to the App and the Services may end or be suspended.

2.2 You must be at least sixteen (16) years old to use the App. This is a contractual eligibility requirement and is separate from the content age rating set in the Store, which may differ.

2.3 Your PowerShelter account is created for you by your Battery Provider using your email address, and you log in to the App with that account. Your account, and any PIN, RFID or other access method, are personal to you and must not be shared, transferred or used by anyone else. You are responsible for keeping your credentials secure and for all activity carried out under your account.

  1. Licence to use the App

3.1 PowerShelter grants you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the App on a device you own or control, solely to access the Services for your own use, in accordance with these App Terms and (on iOS) the Usage Rules in Apple’s applicable terms.

3.2 You must not, and must not permit any third party to:

  1. copy, modify or create derivative works of the App;

  2. reverse engineer, decompile or disassemble the App, except to the extent this restriction is prohibited by mandatory law

  3. rent, lease, lend, sell, sublicense or otherwise distribute the App;

  4. remove or alter any proprietary or legal notices;

  5. use the App to build or benchmark a competing product or service; or

  6. access the App by automated means, or circumvent any security or access-control feature.

3.3 The App is licensed, not sold. All rights not expressly granted are reserved by PowerShelter and its licensors.

  1. What the App does

4.1 Depending on location and plan, the App may let you: locate PowerShelter Shelters and Lockers and view real-time Shelter and battery availability; reserve, unlock and release a Locker; start, monitor and end a charging session; where offered, request and complete a battery swap; receive notifications; and contact support.

4.2 Features and availability of the Services vary by location and Battery Provider and may change. PowerShelter may add, modify, suspend or withdraw App features or Services at any time.

4.3 The App depends on your device, operating system, internet connectivity and the relevant Store, none of which are controlled by PowerShelter. The App may be unavailable or interrupted for reasons outside our control.

4.4 The App and the Services are available only at PowerShelter Shelters located in the European Union and the United Kingdom, and the App is intended for use in connection with those Shelters. The Services are not offered in the United States or Canada. Your nationality or country of origin does not affect your eligibility: if you use a participating Battery Provider and PowerShelter Shelters within the EU or UK, you may use the App.

  1. Battery swapping through the App

5.1 PowerShelter operates battery charging and swapping Shelters and, where available, the App lets you use those Shelters to deposit, collect, charge and exchange batteries. PowerShelter facilitates the swap; it does not own, supply, lease, sell, warrant, maintain or refurbish the batteries.

5.2 The batteries you use are owned and provided by your Battery Provider. Your rights and responsibilities in respect of the batteries themselves — including assignment, condition, fees, charging entitlements, loss, theft, damage, value, replacement and return — are governed by your separate agreement with your Battery Provider, and not by these App Terms. PowerShelter is not a party to that agreement and is not the producer, importer or distributor of the batteries.

5.3 You may only deposit, charge or swap batteries and chargers that are approved by PowerShelter and your Battery Provider and that are CE-certified (EU) or UKCA-certified (UK). You must not deposit or attempt to charge any non-approved, modified, damaged, swollen, wet, leaking or otherwise unsafe battery, and you must follow the manufacturer’s and PowerShelter’s safety and charging instructions.

5.4 Using the swap process correctly. Each swap must be initiated and completed through the App or approved Shelter interface, following the on-screen and on-Shelter instructions. If a Shelter rejects a battery, fails to lock, or fails to record a deposit, you must keep the battery safe and contact PowerShelter or your Battery Provider. A battery left unsecured, or deposited outside the approved process, is not in PowerShelter’s custody and remains at your and your Battery Provider’s risk until it is correctly accepted and recorded.

5.5 Any limit on the number of swaps per day, and other battery-usage entitlements, are set by your Battery Provider and are subject to the terms of your Battery Provider’s offering. PowerShelter may additionally set operational and safety rules at its Shelters (such as holding periods, reservation windows and Shelter-specific limits), where clearly communicated before or when they apply.

5.6 Damage, loss and incidents:

  1. You are responsible to PowerShelter for any damage you cause to a Shelter, Locker or equipment, and for any disturbance you cause at a location where a Shelter is installed.

  2. The batteries are owned by your Battery Provider. Any claim for the value of a battery is a matter between PowerShelter and your Battery Provider under their separate agreement, and not under these App Terms. PowerShelter is not liable to you for loss of or damage to a battery that is caused by a fault or degradation inherent in the battery itself, by your misuse, or by any other cause attributable to you or your Battery Provider. PowerShelter remains liable, subject to Section 12, for loss or damage directly caused by a proven defect or malfunction of, or negligence in the operation of, a Shelter.

  3. You must report any safety incident, accident, theft, overheating, smoke or fire involving a battery or Shelter to PowerShelter and your Battery Provider without undue delay, and cooperate with reasonable follow-up steps.

5.7 You must follow all safety instructions. If a battery overheats, emits smoke or otherwise creates an immediate risk, prioritise personal safety and notify PowerShelter as soon as reasonably possible. PowerShelter may remotely disable, block, suspend or limit access to a Shelter, the swapping service or a specific Locker where reasonably necessary for safety, fraud prevention, compliance or incident response.

5.8 Lockers are for approved batteries only. Lockers are provided solely for depositing, charging and exchanging approved batteries. You must not place personal belongings, valuables or any other items in a Locker, and PowerShelter is not responsible for any item stored in breach of this clause.

  1. Payments — handled by your Battery Provider

6.1 The App is free to download and use. PowerShelter does not charge you for the App or the Services, and does not process any payments through the App.

6.2 All fees relating to charging, swapping and battery use — including subscriptions, deposits, usage charges, and any charges for lost, damaged or unreturned batteries — are set and collected by your Battery Provider under your separate agreement with them. Billing, payment methods, invoices, statutory withdrawal rights and refunds are governed by that agreement, and any payment query must be raised with your Battery Provider.

6.3 Because no payment is taken through the App, no purchase is made through Apple or Google in-app purchase. Apple and Google are not responsible for any fees charged by your Battery Provider.

6.4 To the extent these App Terms form a distance contract for a digital service under EU or UK consumer law (including where you provide personal data in connection with the Services), you expressly request that PowerShelter begin providing the Services as soon as you first log in, and you acknowledge that you will lose any 14-day right of withdrawal once the Services have been fully provided. This does not affect any withdrawal or cancellation rights you have in relation to fees, which are governed by your agreement with your Battery Provider.

  1. Acceptable use of the App

7.1 You must use the App and the Services responsibly, lawfully and in line with all posted instructions and safety rules. You must not damage, tamper with or misuse any PowerShelter hardware or software, or cause any disturbance at a location where a Shelter is installed.

7.2 You must not:

  1. tamper with, modify, damage, interfere with or circumvent any Shelter, Locker, battery, equipment, software, monitoring system or access-control system;

  2. gain or attempt to gain unauthorised access to any part of the App, the Services or PowerShelter’s systems;

  3. use another person’s credentials, or allow anyone else to use yours;

  4. use the App in a way that is fraudulent, unsafe, abusive or unlawful;

  5. introduce malware or otherwise disrupt the App or the Services; or

  6. collect or extract data from the App by scraping or other automated means.

  1. Notifications and location

8.1 The App may send push notifications relating to your sessions, safety, account and service messages. You can control non-essential notifications in your device settings; certain operational and safety messages are necessary to provide the Services.

8.2 With your permission, the App uses your device location to find nearby Shelters and enable Shelter access. You can disable location in your device settings, but some features may then not work. Location data is processed as described in the Privacy Policy.

  1. Intellectual property; feedback

9.1 The App, the Services and all related intellectual property are owned by PowerShelter and its licensors. These App Terms grant you no rights in PowerShelter’s trademarks, branding or other intellectual property except the limited licence in Section 3.

9.2 If you provide PowerShelter with feedback or suggestions, you grant PowerShelter a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without restriction or compensation.

  1. Third-party services

10.1 The App uses Google Maps to provide maps and location features. Your use of those features may be subject to Google’s terms, and the processing of personal data is described in the Privacy Policy.

10.2 Some Shelters are installed at locations operated by third-party hosts or partners, whose site rules may also apply. PowerShelter is not responsible for the acts or omissions of those third parties, or for third-party services, websites or content linked from the App.

  1. Third-party services

10.1 The App uses Google Maps to provide maps and location features. Your use of those features may be subject to Google’s terms, and the processing of personal data is described in the Privacy Policy.

10.2 Some Shelters are installed at locations operated by third-party hosts or partners, whose site rules may also apply. PowerShelter is not responsible for the acts or omissions of those third parties, or for third-party services, websites or content linked from the App.

  1. Updates and availability

11.1 PowerShelter may issue updates, and your Store may install them automatically. Some updates are required for the App to continue working, and the App may stop supporting older operating-system or app versions.

11.2 The App is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, PowerShelter does not warrant that the App will be uninterrupted, error-free or secure, beyond any warranties that cannot be excluded under applicable consumer law.

  1. Liability

12.1 PowerShelter is not liable for:

  1. loss of, theft of, or damage to any battery or other property placed in, or left in or around, a Shelter, except to the extent caused by a proven defect or malfunction of, or negligence in the operation of, a Shelter;

  2. anything that is the responsibility of your Battery Provider; or

  1. indirect or consequential loss, including loss of income, earnings or anticipated profits.

12.2 Subject to clause 12.3, PowerShelter’s total liability to you is limited as follows:

  1. for liability arising from the App software or the digital Services (for example errors, downtime or data issues), to €1,000 per claim; and

  1. for physical loss of or damage to property directly caused by a proven defect or malfunction of, or negligence in the operation of, a Shelter, to €10,000 per claim.

12.3 Nothing in these App Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, intent or wilful misconduct, for gross negligence, for liability under mandatory product-liability law, or for any other liability that cannot be limited or excluded under applicable consumer law.

12.4 PowerShelter is not responsible for loss or damage arising from your device or connectivity, the Store, third-party services, or your failure to follow safety rules or instructions.

  1. Suspension and termination

13.1  You may stop using and delete the App at any time.

13.2 PowerShelter may suspend or end your access to the App and the Services immediately if you breach these App Terms or pose a safety risk, if your relationship with your Battery Provider ends or is suspended, or if a Battery Provider reasonably requests it.

13.3 On termination, the licence in Section 3 ends and you must stop using and delete the App. Any provisions that by their nature survive (including those on intellectual property, liability and governing law) continue to apply.

  1. Privacy

14.1  PowerShelter processes your personal and technical data through the App as described in the Privacy Policy. Your Battery Provider provides PowerShelter with your email address to create your account, and PowerShelter and your Battery Provider may share account, access, transaction and incident data as described in the Privacy Policy and your Battery Provider’s privacy policy. By using the App, you confirm that you have read the Privacy Policy.

  1. Changes to these App Terms

15.1 PowerShelter may update these App Terms. For material changes that disadvantage you, we will give reasonable advance notice through the App or by email. If you continue to use the App after the changes take effect, you accept them; if you do not accept them, stop using the App.

13.2 PowerShelter may suspend or end your access to the App and the Services immediately if you breach these App Terms or pose a safety risk, if your relationship with your Battery Provider ends or is suspended, or if a Battery Provider reasonably requests it.

  1. Governing law and disputes

16.1 These App Terms are governed by the laws of the Netherlands. You and PowerShelter will first try to resolve any dispute amicably. If a dispute is not resolved, the courts of Amsterdam have jurisdiction. If you are a consumer, you may also bring proceedings in the courts of your country of residence in the EU or UK where mandatory law so requires, and the mandatory consumer-protection rules of that country are unaffected.

Appendix A - Additional terms for the Apple App Store

These additional terms apply when you obtain or use the App on an Apple device. If they conflict with the rest of these App Terms, these Apple terms control for the matters they cover.

A1. Acknowledgement. These App Terms are concluded between you and PowerShelter only, and not with Apple. PowerShelter, not Apple, is solely responsible for the App and its content. These App Terms do not provide for usage rules for the App that conflict with the Apple Media Services Terms and Conditions as of the date you accept these App Terms.

A2 Scope of licence. The licence granted to you for the App is a non-transferable licence to use the App on any Apple-branded products that you own or control, and only as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

A3 Maintenance and support. PowerShelter is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance or support services for the App.

A4 Warranty. PowerShelter is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be PowerShelter’s sole responsibility.

A5 Product claims. PowerShelter, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product-liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation.

A6 Intellectual property rights. In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, PowerShelter, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such claim.

A7 Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

A9 Third-party terms of agreement. You must comply with any applicable third-party terms of agreement when using the App.

A10 Third-party beneficiary. You and PowerShelter acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these App Terms, and that upon your acceptance of these App Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these App Terms against you as a third-party beneficiary.

Appendix B - Additional terms for Google Play

B1 Google Play. When you obtain or use the App through Google Play, your use is also subject to the Google Play Terms of Service. Google is not a party to these App Terms and is not responsible for the App or the Services.

B2 Precedence. Where these App Terms and the Google Play Terms of Service conflict in relation to the distribution of the App via Google Play, the Google Play Terms of Service govern to the extent required.

B3 Responsibility. PowerShelter, not Google, is solely responsible for the App, for any maintenance and support, for any warranties, and for addressing any claims relating to the App or your use of it.

B4 Data. Our handling of personal data is described in the Privacy Policy and summarised in the App’s Google Play Data Safety disclosure.
